1. Eligibility

Henry L. Hillman Foundation welcomes applications from organizations or entities that have a recognized legal existence and structure under applicable law (State, Federal or Country) and that are in good standing in the jurisdiction under which they are organized. The legal form of eligible organizations is restricted to entities exempt under section 501(c)(3) of the Internal Revenue Code ("IRC") that have received a tax determination letter from the Internal Revenue Service ("IRS") to that effect. Organizations must be based in the United States or its territories and must serve communities in the United States or its territories. Further, the Healthy Allegheny Challenge is a team-based Competition, which requires that any eligible organization must have formed a partnership, stipulated by Letter(s) of Support from such partner(s), with one or more other organizations. Those partner organizations may include other certified 501(c)(3)s, grassroots community organizations, volunteer groups, government agencies, school districts, or other public partners, and/or any private sector entities. Those partnerships, either public or private, need to reflect strong relationships with authorities where the work is proposed. For example, if your team is proposing to implement a project in multiple locations, then your team should include partnerships with strong and relevant authorities where you are proposing to implement your project. Individual persons are not eligible to apply nor to be represented as any partners. Only organizations may be represented as eligible applicants and associated partners.

2. Ineligible persons or entities

Individuals are not eligible to apply.

Organizations that are not based in the United States or the United States Territories are not eligible to apply.

Employees of Henry L. Hillman Foundation, RAMPIT, and any of their subsidiaries and affiliates, and immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they live) or persons living in the same households of such employees, are not eligible.  Disqualified Persons, as defined for federal tax purposes, of Henry L. Hillman Foundation are also ineligible.

3. Treatment and Use of Intellectual Property

Each application should reflect the anticipated ownership, use, and licensing of any intellectual property. You represent and warrant that your Entry is an original work created solely by You, that You own all Intellectual Property in and to the Entry, and that no other party has any right, title, claim or interest in the Entry, except as expressly identified by You to us in writing in Your application. You retain all right, title and interest in any inventions, software or work of authorship You invent or create. The ownership and use of intellectual property arising from this competition remains with You, subject the license granted by You to the Competition Sponsor pursuant to the Terms and Conditions. Henry L. Hillman Foundation may choose to negotiate for an additional license to use the solutions developed as a result of this competition.

4. Grant Agreement

The successful applicant or Winner will be expected to enter into a grant agreement with Henry L. Hillman Foundation, containing key terms and conditions which are separate from these RULES and TERMS posted on this Website for this Challenge. To ensure that you are prepared to enter into such a separate agreement, please take time to read these sample provisions for such a grant agreement.

In the event You cannot provide all such required licenses and releases, the Competition Sponsor reserves the right, in the Competition Sponsor's sole discretion, to disqualify the applicable Entry.

5.5 You may participate by registering, but You may not register more than one true and uniform identity; multiple registrations for a participant using multiple identities are not allowed. Henry L. Your Entry will be assessed initially by five reviewers, who will be assigned to score your Entry either randomly or after considering any potential conflicts of interest, using the scoring rubric and any other judging criteria that are also described on this website. In cases where a Judge indicates any potential conflict of interest, the Entry will be assigned to another Judge. Those Judges, some of whom are named on this website, will be responsible for scoring your Entry. The judging criteria are to be applied in the sole discretion of the Judges. By participating in the Healthy Allegheny Challenge, You acknowledge and agree to be bound by the final decision of the Henry L. Hillman Foundation.

5.7 Once a rank order of Entries has been calculated, the top Competitors may be asked to provide additional information, if necessary, and/or to present their application before designees of the Competition Sponsor.

Hillman Foundation, as the Competition Sponsor, for the payment of any Award, which will be paid pursuant to the terms set forth in the Grant Agreements between each Winner and Henry L. Hillman Foundation.

Hillman Foundation, RAMPIT, and their partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors and representatives from any Loss arising out of your participation in Competition and the acceptance and use, misuse, or possession of any Award(s).
